This document is an electronic record in terms of the Information Technology Act, 2000 (“IT Act, 2000”), the applicable rules thereunder, and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, privacy policy, and Terms of Use for access to or usage of the www.exaltride.com website.
The domain name www.exaltride.com, including the related mobile site as well as the Seller portal (seller.exaltride.com) (hereinafter referred to as the “Platform”), is owned and operated by Torqis Horizons Private Limited (hereinafter referred to as 'Torqis'), a company incorporated under the Companies Act, 1956, with its registered office at Torqis Internet Private Limited, X210, Ground Floor, Tagore Gali, Gandhi Nagar, Delhi - 110031.
For the purpose of the Terms of Use (hereinafter referred to as “ToU”), wherever the context so requires, ‘you’ and ‘your’ shall relate to any natural or legal person who has agreed to become a Seller on the Platform by providing registration data while registering on the Platform using computer systems. The word ‘user’ shall collectively imply a Seller, a Buyer, and any visitor on the Platform and the terms ‘we’, ‘us’ and ‘our’ shall mean Torqis.
Your use of the Platform and the features therein is governed by the following terms and conditions (ToU) including applicable policies available on the Platform, notifications and communications sent to you on the Platform which are incorporated herein by way of reference. If you transact on the Platform, you shall be subject to the policies that are applicable to the Platform for such a transaction. By mere use of the Platform you shall be contracting with Torqis, and these terms and conditions including the policies constitute your binding obligations to Torqis.
When you use any current or future services provided by us through the Platform you will be subject to the rules, guidelines, policies, terms and conditions applicable to such services and they shall be deemed incorporated into the ToU and considered a part and parcel of the ToU. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of the ToU at any time. We will notify you through any of the communication modes as mentioned in this ToU in case of any changes or updates to the ToU that materially impact your use of the Platform. Your continued use of the Platform following the changes or updates will mean that you accept and agree to the revisions. As long as you comply with the ToU, we grant you a personal, non-exclusive, non-transferable, and limited privilege to enter and use the Platform.
ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT WITH ALL THE TERMS AND CONDITIONS UNDER THE ToU. PLEASE READ THE ToU CAREFULLY BEFORE PROCEEDING. By implicitly or expressly accepting the ToU, you also accept and agree to be bound by all of Torqis’s policies applicable to you, as amended, from time to time.
Seller Eligibility
The use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors, un-discharged insolvents etc., are not eligible to use the Platform. If you are a minor i.e. under the age of 18 years, you shall not register as a Seller on the Platform, transact or use the Platform. Torqis reserves the right to terminate your registration and/or refuse you access to the Platform if it is brought to Torqis’s notice or discovered that you are under the age of 18 years.
If you register as a business entity, you represent that you are duly authorised by the business entity to accept the ToU and you have the authority to bind the business entity to the ToU.
Your Account and Registration Obligations
In the course of your use of the Platform, you agree to furnish your details and information as requested by us from time to time including, but not limited to, the following information, to register as a Seller :
- Seller Name
- Seller Address
- Seller Contact Details
- Seller Grievance Officer details for consumer complaints
- Phone number
- Email address
- GSTIN
- PAN
- Business PAN
- Pincode
- Pick‑up Address
- Registered Address — principal geographic address of its headquarters and all branches
- Bank account details
- Account holder name
- Cancelled cheque
- Signature
- Display legal name
- Legal name / trade name
- Contractual information (SLA)
- Total price in single figure of any goods / service (with break‑up of charges, if any)
- Relevant details of goods including Manufacturer / Packer / Name and Complete
Address
The following details and responsibilities apply to sellers regarding address and related declarations:
- Relevant details of imported goods including Name and details of Importer with correct Country of Origin (Country’s full name)
- Relevant guarantee or warranties applicable to all goods / services you are selling on the platform.
- You agree that you have necessary licences and permits for the sale on the Platform which shall be including but not limited to the licences required by all applicable laws.
- You shall remain responsible for maintaining confidentiality of this information, as well as your display name, login and password details.
- You agree that if you provide any information which is untrue, inaccurate, not current, or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, incomplete, or not in accordance with the ToU, we shall have the right to suspend or terminate your account on the Platform or indefinitely block you from accessing the Platform.
- You provide the power and authority to us to address customer grievances on your behalf in respect of products sold by you. This authority shall include performing incidental acts which are specifically required to be carried out and perform the specific authority granted herein.
- You also provide your consent to populate your details, including, but not limited to, the Seller Address, provided by you at the time of registration on the Seller Portal (www.seller.exaltride.com), on the products listed by you on the platform.
Seller Account Deactivation
As per our policy, if a Seller requests for a closure of the account, the account will be put on hold for a period of 90 days or till the warranty period provided by the seller lasts (whichever is higher) to ensure smooth closure of transactions prior to the closure request and to enable downloading of payment and taxation reports, if required. After such period, upon confirmation from the Seller, the account will be deactivated provided there are no outstanding payments due. Certain information may be retained by Torqis at all times (e.g., registered mobile number, registered email ID, GSTIN, and transaction-related information) for audit and fraud-prevention purposes. If a Seller decides to commence business with Torqis again, the older account can be restored if required.
Communications
When you use the Platform or send emails or other communications to us, you communicate with us electronically and consent to receive communications via electronic records from us periodically or as and when required. We may communicate with you by email or any other electronic or appropriate mode.
Platform for Transaction and Communication
The Platform enables users to independently meet and interact with one another for transactions. Torqis is not and cannot be a party to any transaction or dispute between users on the Platform.
Commercial Terms Clarifications
The following clarifications apply to commercial / contractual terms and responsibilities between Sellers and Buyers:
- All commercial / contractual terms are offered by you and agreed upon between you and Buyers alone, including price, shipping costs, payment methods and terms, delivery timelines and mode, and warranties and after‑sales services.
- Torqis does not make any representations or warranties regarding specifics (such as legal title, creditworthiness, identity, etc.) of any users. You must independently verify the bona fides of any Buyer.
- Torqis is not responsible for non‑performance or breach of any contract between you and Buyers and will not mediate disputes between you.
- Torqis does not endorse or guarantee item‑specifics (quality, value, saleability) of products or services listed on the Platform and accepts no liability for errors or omissions of third parties.
- At no time shall Torqis take possession of, gain title to, or have rights or claims over products/services offered by you. Torqis is not responsible for delays or damages due to stock issues or back‑orders.
- The Platform is only a base to reach customers; it is agreed that the contract of sale is strictly bipartite between you and the Buyer.
- You release and indemnify Torqis (and its directors, officers and representatives) from any cost, damage, liability or consequence of user actions on the Platform, subject to applicable law.
Platform Services
Torqis provides marketplace platform technology and related services such as third‑party software procurement and support, authentication and authorisation, GST compliance enablement, email alerts, reconciliation dashboards and reports.
The logistics service provider (LSP) may use surface or air with service options such as next‑day, same‑day, priority, and others, and support both CoD and prepaid methods.
Torqis may assist with liquidation of returned / unsaleable inventory, and provides a Seller Learning Centre.
- Torqis provides marketplace platform technology and related services.
- Torqis provides logistics services through its LSP with multiple delivery options and payment modes.
- Torqis offers assistance for liquidation of returned and unsaleable inventory.
- For availing services, refer to the policies provided under the Seller Learning Centre.
Use of the Platform
Torqis and the Platform merely provide hosting services to registered users and visitors. All items and content are third‑party generated. Torqis neither initiates nor modifies transmissions and acts as an intermediary between Buyers and Sellers.
Your use of the Platform shall be strictly governed by the following binding principles.
- Do not post information or images which belong to another person over which you have no right, or are harmful, harassing, defamatory, obscene, pornographic, invasive of privacy, hateful, or otherwise unlawful.
- Do not provide false, inaccurate, or misleading content.
- Do not promote illegal activities, solicit gambling, or engage in spamming, chain letters, or unsolicited mass mailings.
- Do not infringe intellectual property, privacy, or publicity rights.
- Do not upload unauthorised videos/images of others or attempt to gain unauthorised access to the Platform or related systems.
- Do not engage in activities that harm minors, exploit people, or provide instructions for illegal activities.
- Do not impersonate others, deceive about message origins, or upload viruses/malicious code.
- Do not threaten national security or public order or offend national/religious sentiments.
- Do not take actions that impose unreasonable loads on the Platform infrastructure or interfere with its proper working.
- Comply with all applicable Indian and international laws and obtain necessary licences and permits.
Dispatch of Products and Services
Sellers must dispatch products and/or services within the timelines defined in the Terms or applicable policies and provide accurate dispatch details. Shipments should be routed through approved delivery channels that provide valid Proof of Dispatch and Proof of Delivery (PoD).
- Dispatch products/services for every transaction within the stipulated time frame.
- Provide dispatch details and after‑sales service information as applicable to the transaction.
- Use only an approved delivery channel that provides PoD documentation.
- Ensure dispatch details are true, correct, and duly authorised.
- If dispatch details are missing/incorrect or do not comply with policies or law, consequences under the ToU may apply, including suspension/termination.
- Remittance to Seller’s bank account will occur per policy events (e.g., buyer confirmation, timelines, or refund rejections).
- Logistics services may be facilitated by Torqis through logistics partners to ease shipment handling.
Prepaid Payment Instruments
Torqis (itself or via service providers) may offer prepaid instruments that Buyers can redeem on the Platform subject to the following terms.
- Such instruments may be used to pay for products/services purchased on the Platform.
- Buyers can redeem them by selecting the supported payment mode available on the Platform.
- They cannot be used to purchase other prepaid instruments or gift vouchers.
- If order value exceeds the instrument amount, the balance must be paid by card/netbanking; CoD is not available for such orders.
- If order value is less than the instrument amount, the remaining balance will remain as credit in the instrument.
- Prepaid instruments and any unused balance typically expire 1 year from issue.
- Prepaid instruments cannot be redeemed for cash.
- Torqis is not responsible if prepaid instruments are lost, stolen, or used without permission.
- A maximum of 3 prepaid instruments may be combined per order and may be combinable with promo codes subject to policy.
- Purchases of prepaid instruments are not eligible for cashback offers.
- All Sellers will accept such prepaid instruments as a valid payment instrument where applicable.
- Payments to Sellers for orders paid using such instruments will be made in accordance with Platform policies and RBI guidelines.
Financial Facilities for Customers
Torqis has tie‑ups with partners to provide financial assistance to Customers for purchases. Where partners disburse amounts on behalf of Customers, receivables from the Customer stand assigned to the partner. Partners may further assign such receivables as permitted. The Customer repays the financing partner directly.
Deferred Payment Options for Customers
Deferred payment options (operational credit) may be enabled by Sellers, with Torqis and its service providers facilitating eligibility checks and reminders. Customers may pay part at order placement and the remainder later. Torqis/service providers only provide technical support; all commercial consequences remain between Seller and Customer.
Charges
Registration/browsing is free. Fees (if any) are as per the fee policy and may change with new/modified services. Changes are posted on the Platform and take effect immediately after posting. Unless stated otherwise, all fees are in INR and payable to Torqis. Torqis may set off amounts due from You against amounts payable to You and may collect applicable consumer fees on your behalf where services are provided for you.
GST and Taxes
Sellers are responsible for all applicable taxes/cesses and for issuing correct and complete invoices (including digitally signed invoices where applicable). Torqis may assist invoice generation on your behalf; however, liability for discrepancies rests with the Seller. Torqis may delay or hold remittances where required by law, policy, or law‑enforcement requests, and may recover chargebacks or excess payments as permitted. Recent notifications altering GST rates must be passed on to Customers via commensurate price reductions where applicable.
Compliance with Laws and Data Protection
Sellers must comply with all applicable laws, including jewellery hallmarking (where relevant), anti‑money‑laundering/KYC, sanctions, consumer protection, and legal metrology requirements. Where Torqis Personal Data is processed, Sellers must comply with the Digital Personal Data Protection Act, 2023 and related laws, maintain security, report incidents, limit processing to contractual purposes, and return/destroy data when no longer required. Sellers must ensure products and listings comply with all labelling/attribute disclosure requirements and display legally mandated information to consumers.
Subcontractors
Sellers must obtain prior written authorisation from Torqis before engaging any subcontractor to perform services under this ToU that involve interactions with any government entity or official on Torqis’s behalf.
Right to Terminate
If Torqis reasonably suspects conduct that violates this policy or applicable anti‑corruption laws, Torqis may suspend payments pending resolution. If a violation is determined, Torqis may terminate the ToU and/or suspend payments. Failure to comply with ongoing compliance obligations or due‑diligence re‑screening may also lead to suspension or termination.
Form of Payment
Payments by Torqis to Sellers are made only against valid invoices and shall (i) be made by cheque or wire transfer to the Seller’s account, (ii) be denominated in functional currency, and (iii) not be made in cash or bearer instruments.
Obligation to Provide Information
If Seller’s ownership/management changes or control shifts to a third party, Seller must notify Torqis within 30 days. Seller may be subject to renewed due‑diligence and shall provide timely information regarding any change to representations made in this ToU.
Government Interactions
Sellers and their personnel are not authorised to interact with any government entity or official on Torqis’s behalf without prior written authorisation from Torqis. If any interaction is required, prior written approval must be obtained.
Product Descriptions
Torqis does not warrant that product descriptions or other content are accurate, complete, reliable, current, or error‑free and assumes no liability in this regard.
Audits
Torqis may inspect and audit Seller records and premises directly or through approved third‑party agencies. Torqis bears audit costs unless discrepancies or non‑compliance are found, in which case the Seller bears the cost.
Breach and Enforcement
Torqis may limit activity; remove information; warn users; suspend/terminate/block accounts; or refuse access, including placing accounts on hold, for reasons including policy breaches, unverifiable information, potential legal liability, or failure to produce required documents. Torqis may reinstate accounts at its discretion and may recover dues and refer matters to authorities.
- Breach of the ToU, privacy policy, or other policies (e.g., Prohibited & Restricted Item Policy).
- Inability to verify or authenticate Seller‑provided information.
- Actions likely to cause legal liability for Seller, users, or Torqis.
- Failure to produce legally required documents (e.g., licences, BIS, brand authorisation, trademark proofs) when requested.
Indemnity
Seller shall indemnify and hold Torqis (and its affiliates, officers, directors, agents, and employees) harmless from claims, demands, penalties, and reasonable legal fees arising from Seller’s breach of the ToU/policies, violation of laws, or infringement of third‑party rights.
Intellectual Property and Complaints
Torqis respects intellectual property rights. Trademark complaints may be sent to legal.torqis@gmail.com. Copyright complaints may be sent to the same address or raised via the Seller dashboard. All materials on the Platform are protected by IP laws and may not be copied, reproduced, uploaded, or distributed without prior written consent of the owner. Any commercial use without consent is prohibited.
Limitation of Liability
In no event shall Torqis be liable for any special, incidental, indirect, or consequential damages of any kind in connection with the ToU, even if informed in advance of the possibility of such damages.
Applicable Law and Jurisdiction
This ToU is governed by the laws of India. Courts at Delhi shall have exclusive jurisdiction.
Jurisdictional Issues (Sale in India Only)
Unless stated otherwise, materials on the Platform are presented for sale in India only. Access from other locations is at the user’s initiative; Torqis is not responsible for supply/refund outside India and for ensuring compliance with local laws.
Seller Declarations (Overview)
Sellers represent and warrant that they have obtained and will maintain all licences, registrations, permissions, and certifications required to manufacture, import, store, advertise, distribute, market, supply, and sell products on Torqis in compliance with applicable laws and notifications.
Segment Declarations — Cosmetics
Compliance with Drugs and Cosmetics Act, 1940 and Cosmetics Rules, 2020 (including Chapters III, IV, V, VI, IX and relevant Schedules). Listings must not include prescription or OTC medicines under cosmetics verticals. If manufacturing/importing, the following shall be ensured:
Segment Declarations — BIS Certification
Compliance with BIS Act, EIT Goods (Requirements for Compulsory Registration) Order 2012, Quality Control Orders, ISI Mark Scheme, Energy Conservation Act 2001, and all BIS CRS / BIS‑ISI / BEE regulations, as amended. Maintain all necessary certificates and authorisations.
Segment Declarations — Animal‑Derived Products
Products containing animal parts (e.g., corals, seashells, shankha, real‑insect key‑chains) offered on exaltride.com are not from prohibited/scheduled animals under the Wildlife (Protection) Act, 1972. Sellers confirm they are not selling scheduled animals or articles thereof.
Segment Declarations — Plastic‑Containing Products
Compliance with Plastic Waste Management Rules, 2016 and the Environment (Protection) Act, 1986, including maintaining required certificates/authorisations (including provisional certificates where required).
Segment Declarations — Gold Jewellery Hallmarking
Compliance with BIS Act 1986, BIS (Hallmarking) Regulations, 2018, and the Hallmarking of Gold Jewellery and Gold Artefacts Order, 2020, and related regulations as amended.
Segment Declarations — Wireless/Telecom (WPC & TEC)
Compliance with Indian Wireless Telegraphy Act, 1933; WPC guidelines; Indian Telegraph Act, 1885; Indian Telegraph (Amendment) Rules, 2017; MTCTE notification; and BEE requirements, as amended from time to time.
Segment Declarations — National Symbols
Compliance with laws governing the National Emblem, Flag, and related products, including the State Emblem of India (Prohibition of Improper Use) Act, 2005; the Prevention of Insults to National Honour Act, 1971 (as amended); and the Flag Code of India, 2002. Maintain all licences and permissions required for such sales.
Segment Declarations — Drugs and Allied Products
Compliance with Drugs and Cosmetics Act, 1940; Drugs Rules, 1945; Medical Devices Rules, 2017; Drugs (Prices Control) Order, 2013; Drugs & Magic Remedies (Objectionable Advertisements) Act, 1954; Poison Act, 1919; NDPS Act, 1985; Pharmacy Act, 1948; and Pharmacy Practice Regulations, 2015, as amended.
Segment Declarations — Khadi Mark
Compliance with the Khadi and Village Industries Commission Act, 1956 and allied rules and regulations as amended.
Segment Declarations — Antiquities and Art Treasures
If a listed item qualifies as an ‘Antiquity’ or ‘Art Treasure’ under the Antiquities and Art Treasures Act, 1972, the listing must be marked ‘non‑exportable’ and shall not be delivered outside India; all provisions of the Act must be followed.
Environmental Claims (Greenwashing)
Sellers must not make false or misleading environmental claims. All claims must be accurate, verifiable, and supported by credible evidence, and comply with applicable environmental protection laws and guidelines.
General Compliance Undertakings
Sellers undertake compliance with the following (illustrative) regulations and confirm prompt notification to Torqis upon lapse or regulatory action regarding any certificate/licence:
- Legal Metrology Act, 2009 and the Legal Metrology (Packaged Commodities) Rules, including amendments and FAQs.
- Consumer Protection (E‑commerce) Rules, 2020 and subsequent amendments; ensure product descriptions/images correspond to actual goods/services.
- Foreign Exchange Management Act, 1999; Customs Act; Information Technology Act, 2000 (as amended); Prevention of Money Laundering Act, 2002; Foreign Contribution Regulation Act; Income‑tax Act; and applicable export/import policy requirements.
- Sanctions compliance: no listings sourced from or routed through embargoed jurisdictions (e.g., Cuba, Iran, North Korea, Syria, and the Luhansk/Donetsk regions and Crimea).
- Provide certificates to Torqis upon regulatory demand; delays/absence may lead to recovery of penalties from the Seller.
Information Security
Where Sellers are enabled with technical integrations or portal access, they shall maintain reasonable information‑security practices aligned with the IT Act and ISO 27001 controls (as referenced in applicable annexures) and protect business‑critical/sensitive data received from Torqis.
